Opening a company in Estonia from Spain

The Estonian OÜ is the most digital company in Europe: you incorporate it, run it and file its taxes without setting foot in Estonia. This is what you gain, what you need to know and how we get it up and running for you.

The advantages of having your company in Estonia

0% while you reinvest

Profit is only taxed when it is distributed: 22% of the amount distributed. Everything you keep in the company to grow, whether hiring, investing or saving, pays no corporate income tax. No other EU country has this system.

Incorporated in a day

The OÜ is registered online and is usually entered in the register within one or two working days. No notary, no appointments, no paperwork.

Very cheap to open and run

About €415 in public fees to get started and a token minimum share capital. No fixed self-employed contributions and no advance tax payments.

All digital, from your computer

Signatures, returns and taxes are handled online with the e-Residency card. Estonia is the most digitalised state in Europe: practically everything is done online.

Few taxes, and very simple ones

A short, clear tax system: no local taxes on business activity and no withholding tax on dividends paid to the shareholder. Fewer returns, lower management costs.

No audit if you are small

Small companies do not have to have their accounts audited: the online annual report is enough.

A European company with the euro

Intra-EU VAT, SEPA payments and freedom to provide services across the EU. You invoice customers in Spain or Germany just as a Spanish company would.

The image of a tech company

Estonia is the birthplace of Skype, Wise and Bolt. An OÜ conveys a modern image and opens doors in the digital and start-up world.

How we get it running for you, without leaving Spain

  1. Review of your case. You tell us about your business and we tell you clearly whether Estonia suits you, or whether another country is a better fit.
  2. Opening the company. Incorporation, plus tax and employer registration. You contract the registered office yourself with a local provider; we tell you which ones are reliable.
  3. Bank account. We choose the right provider with you and prepare the application so that it is not rejected.
  4. Month-by-month management. Accounting, tax, annual accounts and staff payroll, with a single point of contact in Spain.

What it really costs

The official fees are the least of it. Opening an OÜ costs about €415 in official fees: €150 for e-Residency and €265 for entry in the register. That is what every website publishes. And it is the least of it, because with that you have a registered company, not a working business.

What you do not see, and what has to be sorted out for the company to work:

We do all of this for you, in Spanish and English, with a single contact person, except the registered office (and, where required, the local contact person), which you contract directly with a provider in the country.

Turnkey set-up from €690 one-off payment

Incorporation of the company, tax and employer registration, and a bank account application prepared so that it is not rejected.

Maintenance from €120 per month

Accounting, tax, annual accounts and a reminder of every deadline. Payroll from €25 per employee per month.

Plus official fees. The registered office is not included: you contract and pay for it directly with a local provider. Prices exclude VAT. We give you a fixed quote based on your business before we start.

Online banks that open accounts remotely

ProviderWhat it is for and conditions
Wise BusinessThe account most OÜs use: 100% online sign-up, multi-currency, no monthly fee on the basic plan.
Revolut BusinessA full account with cards and several currencies; verification is somewhat stricter than at Wise.
PayseraA Lithuanian provider; an alternative for activities that other banks reject.
LHV (Estonian bank)If you want a local bank: it requires a visit and charges a non-refundable review fee. It is not remote.

Any account in a European Economic Area country is valid for the OÜ, including for paying in the share capital: you do not need an Estonian bank. Note: Wise and others on the list are not banks but electronic money institutions. They keep your money separate, but without a bank's deposit guarantee scheme. Conditions change often; we check them with each client before applying for the account.

Requirements we handle for you

The card is collected in person

It is the only in-person step and it is not in Estonia: you collect it in Madrid (or at the mobile collection point in Barcelona) after applying online.

Address and contact person in Estonia

The OÜ needs an address in Estonia and, if the directors live abroad, a local contact person. You contract both directly with an authorised local provider; we tell you which ones are reliable.

Annual accounts by 30 June

The annual report is filed online within six months of the end of the financial year. If it is not filed, the register may end up dissolving the company.

The key to using these advantages without problems with the Spanish Tax Agency

All these advantages are legal and they are yours if the company has real activity in its own country: customers, contracts, suppliers or staff there. Within the EU, Spanish law recognises this expressly: a subsidiary with valid economic reasons and its own activity is not caught by the Spanish controlled foreign company rules (article 100.16 of the Spanish Corporate Income Tax Act). What you must avoid is a letterbox company, in fact managed from Spain with nothing there: the Spanish Tax Agency would treat it as Spanish (article 8). We set up the subsidiary so that it has that real activity from day one.

Frequently asked questions

Can you open a company in Estonia without travelling?

Yes. Everything is done online with the e-Residency card. The only in-person step is collecting that card, and you do it in Spain (Madrid or the mobile collection point in Barcelona), not in Estonia.

How much does it cost to open an OÜ in Estonia?

Public fees come to around €415: about €150 for e-Residency and €265 for registration. On top of that come the address, the contact person, the bank account and the accounting. With us, the full set-up costs from €690 and maintenance from €120 a month, plus fees. The registered office is contracted separately with a local provider.

Is it true that you pay no tax in Estonia?

Not exactly. What is not taxed is the profit the company does not distribute. When it is distributed, the company pays 22% of the gross profit distributed. And if the company is in fact managed from Spain, it may have to pay tax in Spain.

Which bank accepts an OÜ with a Spanish director?

The most widely used are Wise Business and Revolut Business, which open accounts remotely. Traditional Estonian banks, such as LHV, require an in-person visit.

Do you want your company in Estonia?

Tell us about your project and we will tell you what you need, what it costs and how long it takes. All from Spain.
